A non-refundable registration fee of INR 5,000/- plus applicable GST (Goods and Services Tax), or its equivalent in foreign currency, shall be mandatorily payable by participants for the registration/application.
You are prohibited from making such payment and participating in the Program if you are a resident of a jurisdiction where you have not attained the age of majority under applicable law, or where payment of the prescribed fees is prohibited. Any such entries shall be deemed automatically disqualified.
The Proposers and/or their respective Participating Affiliates retain full rights to disqualify you from the Program at any time if it comes to their notice that you are registering/applying in violation of the laws applicable in your jurisdiction of residence or application.
The " Foundery ” Co-Founder Identification And Immersion Program is a hybrid (online and offline) merit based selection program (“ Program ”) that provides entrepreneurs an opportunity to present their business ideas to Think9 Consumer Technologies Private Limited (“ Think9 ”) and WTFund (“ WTF ”) and their respective Participating Affiliates (collectively, the “ Proposers ”, and each a “ Proposer ”) who may evaluate the applicants and select any applicant as a ‘Co-Founder’ and invest in their business idea.
The Program will primarily be conducted in the English language through the [https://www.think9co.in/the-foundery] (“ Website ”) and other online modes, which are owned by the Proposers and/or their respective Affiliates.
“ Affiliates ” with respect to a Person means (i) any Person or entity that, directly or indirectly, through one or more intermediaries, Controls, is Controlled by or is under common Control with such Person, and, in case of a Person being a natural person, shall additionally mean the Relative of such Person or (ii) any corporation or organization of which such Person is, directly or indirectly, the beneficial owner of fifty percent (50%) or more of any class of voting securities, or in which such Person has a substantial beneficial interest.
“ Applicant(s): The Registrant(s), Back-up Applicant(s)all collectively referred to as “Applicant(s)”.
“ Application ”: is a process through which Applicants can stand a chance to participate in the Program or Round or any part thereof.
The registration windows for Entry Process will be updated on the Website.
“ Back-up Applicant(s) ”: The Applicant(s) selected to participate in the session round of the Program, only in case any selected Applicant(s) does not appear for the Session, for any reason.
“ Bootcamp ” means the intensive five (day) bootcamp for the purposes of orientation for any Cohort that immediately precedes the Residency.
“ Centre ” means the residential compound where the Residency of the Cohort shall take place.
“ CFR (Call for Registration) ”: is the process where the Applicants can participate in the Program by filling the application form available on the Website.
“ Co-Founder ” means any Selectee that is selected to become co-founder of any particular company owned and promoted by the Proposers’ Affiliates; the selection of any Selectee as co-founder of a particular company shall be at the sole and absolute discretion of the Proposers’ Affiliates.
“ Cohort ” means each group of Selectees.
“ Contributor”: Any person other than the Applicant(s), who participates, attends, and/or is present at any of the Rounds, the Centre, and/or the Program in whatever mode physical, virtual or hybrid.
“ Control ” (including, with its correlative meanings, the terms “ Controlled by ” or “ under common control with ”), as used with respect to any Person, means (a) the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such Person whether through the ownership of voting securities, by agreement or otherwise, or (b) the power to elect appoint more than half of the directors on the board, partners or other individuals exercising similar authority with respect to such Person, or (c) the possession, directly or indirectly, of a voting interest of more than 50% (fifty per cent) of the total paid up equity share capital of that subject Person.
“ Costs ” includes, but is not limited to, all costs and expenses, including the Fixed Costs and Variable Costs, incurred in connection with the Program including the Entry Process and Residency by any relevant Participating Affiliate, any Proposer(s) and their respective Affiliates.
“ Entry Process ” means the entire process from the commencement of the CFR till the culmination of the final Round.
“ Fixed Costs ” means the amount of INR 10,00,000 per Selectee incurred by the Proposers or their respective Affiliates during the course of the Residency.
“ Intellectual Property Rights ” means any and all patents, utility models, rights to inventions, copyright and neighbouring and related rights, trade marks, designs, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights, and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future worldwide/ across the universe.
“ Participating Affiliate ” means any Person or Contributor that is an Affiliate of any of the Proposers and which Person is involved in the establishment, implementation, organization or execution of the Program.
“ Prescribed Fees ” means the upfront mandatory non-refundable fees of INR 5,000/- payable by every Applicant.
“ Registrant ": Any person(s) who participates in the Program and who (i) has completed eighteen (18) years of age as on September 1, 2025 respectively; (ii) is a citizen and resident of any country which does not prohibit participation in the Program and payment of the Prescribed Fees (iii) is of sound mind and health (iv) must enter the Program on their own only as entry(ies) by proxy will not be accepted, even for their family members (v) is not a Proposer/s or Participating Affiliate or their respective directors, officers, employees, contractors or other personnel (vi) should not have been convicted any crime or have any civil proceedings or criminal charges pending against them or any other disqualifications involving moral turpitude (vii) must voluntarily submit to background checks and KYC formalities (viii) enters the Program in accordance with the Terms and Conditions stated below.
Employees, auditors, agents and promoters (including their immediate family members) of the Proposer, and of its Participating Affiliates, and others associated with the Program in any manner; are ineligible to enter the Program. In case they do participate or register to participate by misrepresentation, the Proposers/ relevant Participating Affiliate shall in its sole discretion disqualify and discontinue such participation and initiate necessary corrective and remedial actions against such breach by the Applicants.
Any reference of ‘You’ or ‘you’ under these Terms and Conditions (as defined) shall mean and construed as Applicant or Applicants as the context may require.
“ Residency ” means the approximately three (3) month immersive intensive orientation and mentoring segment involving participation by various reputed business mentors, as well as the opportunity to attend exclusive lectures and networking events, primarily at the Centre.
“ Residentiary ”: means any Selectee who is invited and agrees to relocate to (i) the Centre during the duration of the Residency and (ii) to Mumbai to work out of the relevant Proposer’s Affiliate’s offices as a co-founder of a company promoted by the Proposer’s Affiliates.
“ Round ” means the online and/or in-person evaluation rounds held on certain dates and at such locations as informed to the Applicant(s).
“Schedule ” means the series of Rounds as per a timetable to be notified by the Proposer(s) or any of their respective Affiliates.
“ Selectee ” means any Applicant that is selected to be a Residentiary.
“ Terms and Conditions ” mean these Terms and Conditions governing the participation of the Applicants on the Program, stated herein in entirety including any schedules or annexures hereto, as may be amended by the relevant Participating Affiliate from time to time.
“ Valid Entry/ies ” means the Online Entry/ies under Phase 1 that are accepted by the relevant Participating Affiliate/ Proposers, confirmation is received and thereafter not rejected in the sole and absolute discretion of the relevant Participating Affiliate/ Proposers.
“ Variable Costs ” means the amount of approximately INR 20,000 per day per Applicant that is a reasonable pre-estimate of the costs and expenses that will be incurred by the relevant Participating Affiliate(s) during the Program on the Applicant(s) including on account of room, board and maintenance for the Residency and for the Bootcamp as well as the various activities and mentors/ Contributors during the Residency and Bootcamp .
Terms defined elsewhere in these Terms and Conditions shall have the meanings ascribed to such terms there and shall be deemed to be incorporated by reference into this Section II.
EMPLOYEES OR OFFICIALS OF ANY CENTRAL, FEDERAL, STATE, PROVINCIAL, LOCAL, MUNICIPAL, VILLAGE GOVERNMENT, GOVERNMENTAL ORGAN, COURT, TRIBUNAL, OR ANY OTHER POLITICALLY EXPOSED PERSONS ARE NOT ELIGIBLE TO PARTICIPATE.
POLITICALLY EXPOSED PERSONS ARE THOSE PERSONS WHO ARE ENTRUSTED WITH A PROMINENT PUBLIC FUNCTION AND MAY INCLUDE THEIR IMMEDIATE FAMILY MEMBERS AS WELL IN CERTAIN JURISDICTIONS.
The Registrations for CFR will be opening from the dates that may be intimated on the Website (and which may be amplified through social media or other channels), unless otherwise determined by the relevant Participating Affiliate at its own discretion.
In order to participate, the interested Registrants have to register on the Website and fill in the Foundery application form (“ Application Form ”) during the period as may be intimated through the Website (“ CFR Window ”).
The Application Form should have been completed on or before closing of the CFR Window in order to be considered as a Valid Entry/ies.
Applicants who have participated in Entry Process are eligible to participate in CFR.
In case an individual wants to submit more than one business idea, he/she can do so by using different mobile numbers registered solely under his/her name following the above-mentioned registration procedure while paying the Prescribed Fees for each submission.
Once the Applicant(s) have submitted the Application Form, no changes can be made to the same.
Kindly ensure that you read the form and fill in the details carefully.
Once you click on the submit button, you will get a confirmation screen confirming the registration/ completion of Entry Process.
Gratification: The relevant Participating Affiliate will evaluate the Submitted Materials provided by the Applicant(s) and as decided by the relevant Participating Affiliate and/or their representatives in their sole discretion, including but not limited to the use of artificial intelligence (AI) tools or software, will earn a direct spot under Phase 2 as described hereinbelow.
The details about selection and further processes with regard to the Phase 2 will be communicated to the shortlisted Applicants subject to the relevant Participating Affiliate receiving all necessary and/or additional documentation as requested by the relevant Participating Affiliate in their sole and absolute discretion.
The relevant Participating Affiliate will not entertain any queries or claims regarding the selection criteria.
The decision of the relevant Participating Affiliate in respect of any Applicant, Selectee or Cohort shall be final and binding and non-appealable.
The Applicant(s) understand that by registering and participating in the Entry Process, they expressly consent to the collection, recording, processing, export and storing of the videos or any other materials, documents or other information in any form, media or mode, including but not limited to any personal data or personally identifiable information, submitted and the personal interviews during the participation process and any and all details shared during the Entry Process or the Program and thereafter.
The Proposers or any relevant Participating Affiliate, and their respective agents and representatives, employees, advisors, contractors or personnel shall not be responsible for any loss of entries and/or information for any reason whatsoever including, due to any technical problems during the participation process for Entry Process.
All Applicant(s) participating through Entry Process hereby expressively agree that they have read, understood and agree with these Terms and Conditions
Neither the Proposers nor any relevant Participating Affiliate will be responsible for any claim or dispute with respect to cancellation or rescheduling of any Round, Program or any part thereof due to reasons of force majeure event or any other reason whatsoever.
The Proposers or the relevant Participating Affiliate reserves the right to add, change, amend, modify the registration/ Entry Process or selection criteria mentioned under the Entry Process at its sole discretion at any time.
No claims/ disputes will be entertained or lie against the Proposers or any relevant Participating Affiliate regarding the same.
From among all the Valid Entries received in Phase 1, Applicants will be shortlisted after review of complete application forms and/or videos or other related audio/visual and written content submitted by Applicants.
The number of Applicants shortlisted will be decided by the relevant Participating Affiliate, at its own discretion.
In this phase, a detailed Q&A will be conducted with the Applicant about their business and personal interview in as many Rounds and as such times as may be intimated by the relevant Participating Affiliate whether through the Website or though mobile or email of the Applicant.
Only those Applicants who confirm their attendance for the Bootcamp and Residency during this phase are eligible to proceed further.

A total of up to seventy five (75) Applicants will be selected from Phase 2 for in person / one-on-one Round.
The no. of Applicants shortlisted may be changed by the relevant Participating Affiliate, at its own discretion.
The Round will take place physically or in hybrid/ online mode as may be decided by the relevant Participating Affiliate and informed to the Applicants through the Website or though mobile or email of the Applicant.
Unless otherwise intimated in advance, the physical Rounds will be conducted in Mumbai, India and the details will be communicated to the shortlisted users.
The dates and location for the physical / one-on-one Rounds are subject to change based on degree of participation, technical issues, force majeure events, etc., and the relevant Participating Affiliate shall have complete discretion in this regard.
A jury panel will evaluate all the Applicants on the basis of certain pre-defined parameters.
the relevant Participating Affiliate’s authorized representatives will have the final right to refuse registration/eligibility of the Applicant at such relevant Participating Affiliate’s sole discretion.
Subject to completion of formalities as prescribed by the relevant Participating Affiliate, the Applicants will have to go through the Entry Process which may comprise of several Rounds.
If the Applicants fail to complete the Entry Process or any part/ round thereof, then he/she shall be disqualified from further participation in the Program without any demur or liability on the part of the Proposers or any of their Affiliates.
All Applicants have to complete this phase to move to the next Round.
It is necessary for the Applicant to have good internet connectivity and a smart phone or similar device throughout (in case of online Round) to be eligible for further processing.
No disputes will be entertained arising out of issues of internet connectivity loss or non-availability of Applicant or non-availability of smartphone or similar device.
The decision of the relevant Participating Affiliate in connection with the Round including but not limited to short listing the Applicants will be final AND binding and is non-contestable.
In case of any dispute or difference in respect of this Round, the decision of the relevant Participating Affiliate shall be final and binding on all concerned.
The dates for any subsequent Rounds will be subsequently informed to the relevant shortlisted Applicants.
Please note travel, accommodation and all other expenses in relation to the participation of the Applicant in the Entry Process, any Round or part thereof, will be at the Applicants’ own costs and only the Applicant will be permitted to enter the Round venue upon submission of the requisite documents and photographs.
Late entrants may stand disqualified from the Round / Entry Process at the discretion of the relevant Participating Affiliate.
Each Applicant may be provided a unique registration number, which he/she must carry with him/her at all times while at the Round/ Program.
The Applicants will have to sign the on-ground registration form along with any release forms and any other documents as required by the relevant Participating Affiliate in order to participate in the Rounds.
The relevant Participating Affiliate’s Representatives will have the final right to refuse or terminate registration/eligibility/ Entry Process at their sole and absolute discretion.
All Applicants shall maintain the decorum of the Round / venue and shall abide by the terms and conditions of the venue.
Further the instructions of the relevant Participating Affiliate shall be adhered to strictly.
Any Applicant who acts in contravention to the instructions of the relevant Participating Affiliate or creates nuisance either to the relevant Participating Affiliate or to any other Person, shall immediately be disqualified from participating in the Round and the Program and shall be asked to leave the Round / venue forthwith.
The Rounds can be moved to an online platform to abide by the Central or State Government issued guidelines or regulations related to pandemic, floods, riots, strikes, disturbances or any other force majeure events.
In such cases, the relevant Participating Affiliate will not be liable to reimburse any travel and accommodation expenses and/or any other expenses incurred by the Applicants.
Applicants will be selected basis the in-person / online Round (as the case may be) for the Cohort, in which there will be up to thirty (30) Selectees.
[ Note: Timelines and number of selectees are subject to change based on degree of participation, technical issues, unforeseen circumstances, force majeure reasons, etc. ]
The timings for the Selectee(s) part of any Cohort for the Bootcamp and Residency will be intimated to the Applicants and cannot be changed or modified to suit Applicant’s requirements.
The representatives of the relevant Participating Affiliate (“ Representatives ”) will notify the Selectees of their selection for the Cohort and ask for confirmation of their details (name, gender, date of birth and address), after which the Representatives will inform the selected Applicant(s) of the attendance dates and documentation requirements, based on finalized schedules.
However it should be noted that the Residency may extend up to three (3) months.
The Selectee is requested to carry a valid English Identity proof and three (3) passport size colour photographs of the Selectee for the Cohort.
In case of non-availability of Applicant or of his/her specified supporting documentation in English, further participation will not be permitted and the Applicant shall be disqualified.
For the Cohort, the relevant Participating Affiliate may cluster the Selectees into different groups.
No questions / queries will be entertained based on the same.
The relevant Participating Affiliate reserves the right to alter or modify the clusters without providing any reasons / justifications for the same to any person or Selectee(s).
The relevant Participating Affiliate shall be responsible for the travel (shortest route possible) and stay arrangements of the Selectees in the Cohort at the Centre during the duration of the Bootcamp and Residency.
The travel and stay arrangements will be made as per the relevant Participating Affiliate’s policies and discretion and any request in this regard by the Selectee(s) shall not be entertained.
Upon the successful completion of the Bootcamp and Residency by any Selectee(s) that is part of any Cohort, the successful Selectee(s) shall be invited to become co-founders of various companies that will be promoted by the Proposer(s) Affiliates subject to due execution of definitive agreement(s) and other appropriate documentation including co-founder / employment agreements to the sole and absolute satisfaction of the relevant Proposers’ Affiliates which definitive documentation will also stipulate (i) the exact amount of Investment (upto INR equivalent of US$ 500,000) in such company in which a Selectee(s) shall become a Co-Founder, (ii) entitlement for up to 25% equity in such company (subject to appropriate and customary lock-ins and reverse vesting as set forth in such definitive agreement(s)) to build and scale the business of such company.
THE SUCCESSFUL SELECTEES SHALL BE REQUIRED TO RELOCATE AND WORK FROM MUMBAI AT THE PROPOSERS’ AFFILIATES OFFICES OR SUCH OTHER LOCATION AS MAY BE DIRECTED BY THE PROPOSERS’ AFFILIATES TO BUILD THE BUSINESS OF THE RESPECTIVE COMPANY TO WHICH THEY HAVE BEEN SELECTED AS CO-FOUNDERS AND ANY FAILURE TO SO RELOCATE FOR THE PERIOD AS DECIDED BY THE PROPOSERS’ AFFILIATE OR COMPLETE THE PROGRAM INCLUDING THE BOOTCAMP AND RESIDENCY AND UNDERTAKE THE RESPONSIBILITIES OF CO-FOUNDER SHALL DISENTITLE AND DISQUALIFY ANY SUCCESSFUL SELECTEE FROM FURTHER PROGRAM PARTICIPATION OR CO-FOUNDER STATUS AND THE PROPOSERS’ AFFILIATE SHALL BE ENTITLED TO TAKE ANY AND ALL ACTIONS, EXERCISE SUCH RIGHTS AND REMEDIES AS ARE REQUIRED TO PROTECT ITSELF FROM SUCH BREACH INCLUDING RECOVERY / CLAWBACK OF ANY INVESTMENT MADE OR COSTS AND EXPENSES INCURRED IN CONNECTION WITH ANY SELECTEE DESIGNATED AS CO-FOUNDER IN ANY COMPANY AND ANY AND ALL OTHER REMEDIES AS AVAILABLE TO IT UNDER LAW OR CONTRACT.
All Applicant(s) hereby expressively agrees that they have read, understood and agree terms and conditions in these Terms and Conditions.
The relevant Participating Affiliate may require the Applicant(s) to sign additional forms, documents, undertakings, declarations any other similar documents prior to them attending the Program, with regard to their participation in the Program.
The Applicant(s) hereby agrees to sign all such documents that may be required by the relevant Participating Affiliate and any refusal by the Applicant(s) to sign such documents shall give the relevant Participating Affiliate the right to forthwith and unconditionally disqualify such Applicant.
Participation in the Program by submitting Application(s) in any of the aforesaid manner shall be considered to be acceptance of these Terms and Conditions.
These Terms and Conditions may be subject to amendment from time to time and as such participation in the Program would be considered acceptance of the amended Terms and Conditions.
Other than the Prescribed Fees, there is no levy of an entry fee or participation fees or any other nature of fees for participation in the Program.
Any person who claims to be from the relevant Participating Affiliate and asks the Applicant(s) for paying any fee for participation in the Program, save and except for the Prescribed Fees, is defrauding the Applicant(s) and he/she should report this to the relevant Participating Affiliate and local police immediately.
There are also no lotteries, prize monies, cash prizes etc. distributed by the relevant Participating Affiliate or the Program.
The only way to participate in the Program is in the manner detailed hereunder and any person who claims to be from the relevant Participating Affiliate and offers any lotteries, prize monies, cash prizes etc. to anyone is defrauding the person and he/she should report this to the Participating Affiliate and local police immediately.
The Program is open to adults i.e. only those who have completed 18 years of age as on September 01, 2025, and the Applicant should be of sound health and mind.
Persons must enter the Program on their own behalf only and Entry(ies) by proxy will not be accepted, even for their family members.
An Entry/ies is not transferrable.
Participation in the Program is voluntary, and the Applicant(s) hereby confirms to be present on such dates at the Round, as may be communicated by the relevant Participating Affiliate.
Should the Applicant(s) fail to be available for the Round or the session of the Program, the relevant Participating Affiliate reserves the right to disqualify or remove such Applicant(s) from the Program at its discretion without being required to offer any reasons whatsoever.
Employees, agents and promoters (including their immediate family members) of the relevant Participating Affiliate, and of its divisions, affiliates and subsidiaries, vendors (including auditors) and others associated with the Program in any manner; are ineligible to enter the Program. In case they do participate or register to participate by misrepresentation, the relevant Participating Affiliate shall in its sole discretion disqualify and discontinue such participation.
Failure to provide proof or affidavit of eligibility, including the proof of name, address and correct date of birth within a reasonable time upon request by the relevant Participating Affiliate may result in disqualification.
The relevant Participating Affiliate also reserves the right to disqualify an Applicant(s) in case a discrepancy is found to exist in the information furnished/provided/stated by the Applicant(s) during the conversation with the relevant Participating Affiliate or any of the relevant Participating Affiliate’s sub-contractors and vendors in the Program, and/or in the information stated in the documents furnished by the Applicant.
All forms of video recordings and photographs whether audio, visuals, audio visuals or stills or images, are strictly prohibited by or at the instance of the Applicant(s) during the participation of the Applicant(s) for the Program, whether online or in-person, including but not limited to, pre, post and during registration process, pitching round, sessions and any other Rounds in relation to the Program.
The relevant Participating Affiliate also reserves the right to disqualify the Applicant(s) and initiate necessary corrective and remedial actions against such breach by such Applicant(s), in case of any claim including third party claims received by the relevant Participating Affiliate, pertaining to product/services/idea/invention/business submitted/pitched/presented/informed/expressed/suggested by the Applicant(s).
Applicant(s) agrees to indemnify the relevant Participating Affiliate with respect to the same as per the terms of this Terms and Conditions.
The Applicant(s) hereby represents that he/she is not under any exclusive contracts with any other third party/ agency/Person either individually and/or with respect to the product/business proposal being pitched or submitted with the relevant Participating Affiliate and/or is not under any kind of disqualification under law, as the case may be.
The relevant Participating Affiliate reserves the right to disqualify any Applicant(s) (s) who is under any such exclusive contracts or other disqualifications, and to initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The Applicant(s) undertakes, warrants and guarantees to the relevant Participating Affiliate, that the Applicant(s) has the full legal capacity, power and authority to participate in the Program in accordance with these Terms and Conditions.
By registering for the Program, the Applicant(s) represents that he/she is medically fit and do not have present or past psychological ailments.
If in the past he/she has had any psychological ailments or have been under medication for any psychological anxiety, hypertension, depression or any other medical problems, the same shall be disclosed to the relevant Participating Affiliate in writing along with a copy of the certificate from a qualified medical practitioner declaring him/her to be fit for participation in the Program.
In the event the Applicant(s) suffers from any medical conditions during the session, then the relevant Participating Affiliate, will on a best endeavour basis provided reasonable medical assistance to the said Applicant(s).
However, in the event such medical condition renders the Applicant(s) unfit for further sessions/ Rounds /participation in the Program, then the relevant Participating Affiliate shall have the right to disqualify such Applicant(s) from further participation, and to initiate necessary corrective and remedial actions against such breach by such Applicant(s).
Any Applicant(s) may not be confirmed for the Program if they are suffering from any kind of serious medical conditions (viz.: cardiovascular ailment, cancer, organ failure issues, final stages of pregnancy, etc.).
It is the responsibility of the Applicant(s) to be medically fit for participation at all stages.
Nevertheless, the final decision regarding their continuing participation in the Program, Round or any part thereof, rests entirely with the relevant Participating Affiliate.
If the Applicant(s) suffers from any medical condition or is diagnosed with any medical conditions during any Round of the Program, such that the Applicant(s) or his/her presence on the sets might put the others on the sets at risk of contracting the same medical conditions/issues, then the relevant Participating Affiliate may choose to cancel such Applicant(s) participation, at whatever stage of the Program / Round the same might be.
The Applicant(s) hereby undertakes to adhere to all health and safety guidelines issued by the relevant Participating Affiliate.
The Applicant(s) shall ensure that the Applicant(s) follows and abides by all the instructions given by the relevant Participating Affiliate with respect to the Program including but not limited to all health and safety instructions issued by the relevant Participating Affiliate or any designated by the relevant Participating Affiliate.
The relevant Participating Affiliate reserves the right to terminate the participation of any Applicant(s) at any stage in the event the Applicant(s) fails to follow any instructions of the relevant Participating Affiliate with respect to the Program.
Where the Applicant(s) is required to travel for the Program, the Applicant(s) shall consider all factors of disruption in travel, quarantine, etc. due to pandemic, riots, strikes, disturbances, war, conflict or otherwise to be available for participation in the Program or the Round.
If the relevant Participating Affiliate has reasons to believe that the Applicant(s) Programs any symptoms of having contracted COVID -19 or any other communicable infections/diseases, then the relevant Participating Affiliate shall have, in its sole discretion, the right to cancel their participation on an immediate basis, at any given stage and the Applicant(s) hereby agrees not to make any claims in this regard.
The relevant Participating Affiliate shall at no time be responsible for any medical expenses of the Applicant.
The Applicant(s) hereby undertakes to keep the relevant Participating Affiliate promptly inform in the event he/she is feeling unwell or has any symptoms of having contracted any communicable diseases/ infections.
Any delay or failure on part of the Applicant(s) to inform the relevant Participating Affiliate of his/her symptoms can lead to disqualification.
The relevant Participating Affiliate cannot be held liable in case any Applicant(s) contracts any communicable diseases during any Round or session even after the Applicant(s) has taken all necessary precautions and vaccination.
The relevant Participating Affiliate shall not be responsible for making arrangements or paying for the travel, lodging and food expenses of the Applicant(s) for the purpose of any Round.
The Applicant(s) shall be required to make such arrangement themselves and such Applicants cannot claim any reimbursement of the same for any reasons whatsoever.
The relevant Participating Affiliate is not responsible to cover these costs for any person or family members of the Applicant.
The Applicant(s) shall be at all times responsible for obtaining all appropriate permissions to enable them to travel for participation in the Program/ any Round / Residency and the relevant Participating Affiliate shall not be responsible for the same at any time
The Applicant(s) undertake to follow all Central or State Government issued guidelines or regulations.
The Applicant(s) are advised to always abide by the advisories issued by the relevant Government with respect to health or safety for their own safety and for the safety of the other around them.
The Applicant(s) agrees to participate in the Program at its own risk, and agrees to release the relevant Participating Affiliate, the Proposers and any of their respective Affiliates, to the maximum extent allowed by law, from any liability, direct or indirect, connected to or resulting from any illness (or loss of life) that may be suffered by the Applicant(s) and/or any relatives of the Applicant due to Applicant(s) participation in the Program or any part thereof.
In the event of delay or unable to make himself/herself available for the Program or in case of any force majeure event or any other reasons, the relevant Participating Affiliate may either choose to the reschedule the session for such Applicant, at its own discretion and shall not be under any obligation to do so, or the Applicant(s) may stand eliminated/disqualified at the discretion of the relevant Participating Affiliate.
However, the Applicant(s) understands that being unable to participate in the Program on the given date(s) due to any reasons would cause immense and irreparable loss to the relevant Participating Affiliate and the Applicant(s) hereby unconditionally agree to indemnify the relevant Participating Affiliate (including any other persons used by them in relation to this Program) with respect to the same as per the provisions of this Terms and Conditions.
The Applicant(s) represent that he/she has not been accused or convicted or is otherwise involved in any criminal offence (including but not limited to acts of moral turpitude and harassment) and/or is not under inquiry or trial by the police or judiciary which has not been disclosed to the relevant Participating Affiliate in writing.
That the Applicant(s) is /are not required to be present before any authority including police or any court of law during the dates informed by the relevant Participating Affiliate and has no other disability which would prevent his/her participation in any Round or the Program (if selected).
The Applicant(s) acknowledges that he/she has voluntarily chosen to participate in the Program at his / her free-will and is willing to bear all risk, costs & consequences arising from such participation in the Program.
It is a condition of entry and participation in the Program that the Applicant(s) has not entered into any contractual, commercial, sponsorship agreement (including but not limited to recording, performing and/or merchandising contracts) or other arrangement for example with a management company or an individual to act as the Applicant’s manager or the products thereof or in respect of his/her name, likeness, image or biography which might be in breach of the Terms and Conditions or otherwise prevent the Applicant(s) from participating in the Program or the broadcast, promotion, exploitation or sponsorship thereof.
The Applicant(s) is also required to refrain from wearing any clothing items bearing prominent designer or sports logos or bearing the name or likeness of a celebrity, living or dead.
The Applicant(s) are also not permitted to wear logos or names of, or mention any, competing businesses.
If entries are received for participation, it is assumed that the person sending in the entry has provided the relevant Participating Affiliate with permission to send SMSs to him/her or call him / her, whether or not such sender is registered on the National Do Not Call registry.
The relevant Participating Affiliate will only contact the Applicant(s) on the mobile number provided by the Applicant.
It’s the Applicant(s) responsibility to ensure that the number provided by them is active and reachable at all times and under no circumstances will any relevant Participating Affiliates, Proposers or their respective Affiliate be responsible or liable for the same or any mistransmission or non-transmission or lack of coverage.
The Applicant(s) will be required to furnish necessary documents supporting the Application, such material will be considered and deemed as “ Submission Material ” that is solely owned and controlled by the Applicant(s).
The Applicant(s) confirms that such Submission Material is (i) being submitted voluntarily by the Applicant(s) for further selection in the Program; (ii) it is original and is not based on any other material or source; (iii) the acceptance, storage, use and exploitation thereof will not violate or infringe any third party rights and (iv) The Applicant(s) has the right/authority to submit and to offer such material to the relevant Participating Affiliate without obligation to any third party, and the consent of no other person or entity is required.
The Applicant(s) understands that the Submission Material will be reviewed by the relevant Participating Affiliate and any third-party agencies as may be hired by the relevant Participating Affiliate with respect to the Program.
For the purpose of the same, the Applicant(s) hereby expressly consents to the relevant Participating Affiliate reviewing the Submission Materials and sharing the same with third-party agencies, strictly for the purpose of the Program.
The Applicant(s) represent and warrants that it is their own responsibility to ensure that all of the rights in the Submission Material have been properly secured and will not be prejudiced through their participation in the Program or any part thereof.
Any disclosures made by the Applicant(s) relating to themselves or the Submission Material will comply with all applicable laws.
The Applicant(s) represent and warrants that he/she will not assert, maintain or assist other persons in asserting or maintain against the relevant Participating Affiliate any claim, action, suit or demand of any kind or nature whatsoever related to the use of the Submission Material, including without limitation those grounded upon copyright, trademark or patent infringement, invasion of privacy or publicity rights, breach of confidentiality, other civil rights or any other ground in connection with the use of the Submission Material in the Program.
The Submission Materials, business ideas, product details, shall, at all times, be in compliance with applicable laws, regulations, codes and other stipulations of India and shall not include any defamatory matter nor constitute contempt of court nor breach any provision of any applicable statute or any regulations including inter alia any law or regulation relating to obscenity, blasphemy or racism or breach of any representation, warranties or obligations of the Applicant(s) towards any third party.
If the relevant Participating Affiliate believes that the Submission Materials, business pitches, ideas, product details etc. are illegal, in contravention with applicable laws or Applicant’s agreements with third party(ies) agreements or societal norms, in bad taste, derogatory or in any manner contradicts with the policies of the relevant Participating Affiliate, the relevant Participating Affiliate shall have the right to disqualify the Applicant(s) at any stage and to initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The Applicant(s) shall keep the relevant Participating Affiliate indemnified in this regard as per the terms of this Terms and Conditions.
The Applicant(s) understands and agrees that the details submitted by them regarding their business/product/idea/invention including the design, use, and operation thereof, may be publicly shared and described in detail on the Program or thereafter.
Such disclosure may adversely affect their interests in the business, including without limitation, the ability to prevent against theft of the business idea and the protection of the business idea through the acquisition of Intellectual Property Rights, such as patents, trademarks, or copyrights.
The Applicant(s) understands that the relevant Participating Affiliate might receive similar business proposals from different individuals and it shall be the relevant Participating Affiliate’s sole discretion to decide which Submission Materials or Applicant(s) to choose.
The relevant Participating Affiliate assumes no obligation of any kind that maybe implied against by reason of receipt or potential or actual review of the Submission Material or any discussions or negotiations.
The relevant Participating Affiliate will store all the Submission Material until 2 (two) months after the end of the Cohort the Applicant(s) is part of.
The Applicant(s) may, at the discretion of any relevant Participating Affiliate, be required to submit a declaration stating that all the Submission Material provided is true and accurate and that is solely owned by the Applicant, free of any lien or encumbrance or have obtained all necessary rights to grant the relevant Participating Affiliate the right and/or to permit the use of Submission Material in connection with the Program or any part thereof.
The relevant Participating Affiliate may, at its discretion, contact the Applicant(s) and/or Applicant(s), if required, for any clarifications needed for the information provided in the Submission Material.
The relevant Participating Affiliate has the right at any time to require proof of identity and/or eligibility.
Failure to provide such proof within a reasonable time could result in disqualification from the Program.
In case there is any mismatch of Applicant(s) details in any Round of the Program or any part thereof, the Applicant(s) may be disqualified from further participation in the Program, if Applicant(s) is unable to resolve discrepancies immediately upon request.
The Applicant(s) hereby understands and agrees that the relevant Participating Affiliate may conduct investigations into their background, which may include reviews of civil and criminal records, financial, credit, and employment history, or any other type of background checks deemed necessary by the relevant Participating Affiliate.
By virtue of participating in the Entry Process, the Program, any Round or part thereof, the Applicant(s) shall be deemed to provide all necessary consents or other documents in connection therewith and shall co-operate with the relevant Participating Affiliate and its agencies, advisors or representatives for the same.
The relevant Participating Affiliate may also conduct due diligence with respect to the Submission Materials.
The Applicant(s) shall be deemed to have provided, by virtue of participating in the Entry Process, the Program, any Round or part thereof, all necessary consents or other documents in connection therewith and shall co-operate with the relevant Participating Affiliate and its agencies, advisor and representatives for the same.
It is hereby clarified that should the relevant Participating Affiliate not be satisfied with the results of the due-diligence conducted either with respect to the Applicant, his/her pitch or the Submission Materials or in the event the due-diligence reveals any discrepancies with respect to the Submission Materials or any documents submitted by the Applicant(s) or with respect to the Applicant(s) in general, the relevant Participating Affiliate reserves the right to disqualify the Applicant, at any stage of the Program and to initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The relevant Participating Affiliate shall not entertain any queries in this regard and its actions shall be deemed reasonable, valid and binding.
The relevant Participating Affiliate shall not be required to share any of the due-diligence reports or any provide any explanations to the Applicant(s) for any such disqualification.
The Applicant(s) understands that in the event their business proposal is selected by any of the Proposer/s or any relevant Participating Affiliate, the Proposer/s or any of their Affiliates may conduct additional due-diligence prior to the making any investment in any company (“ Investment ”) for which an Applicant is to be a co-founder.
Neither the relevant Participating Affiliate, the Proposer/s or any of their respective Affiliates shall be held responsible or liable for or involved in any due-diligence conducted post the selection of the proposal of any potential co-founder or if such due diligence does not result in any Investment taking place.
In the event the Submission Materials, the business idea, or any other materials submitted by the Applicant, contain any third-part proprietary materials including but not limited to images, video, audio, audio-video, copyrights, trademarks, patents etc., then the Applicant(s) shall be obligated to submitted proper authorizations from the relevant third-party, in the form and manner acceptable to the relevant Participating Affiliate.
It is hereby clarified, that in the event that the Submission Materials contains any such third party materials, then the Applicant(s) shall be obligated to seek perpetual exploitation rights for the relevant Participating Affiliate and its assignees and licensees to exploit it on all modes, media and format throughout the world at perpetuity and to inform the relevant Participating Affiliate about the same.
Failure to inform the relevant Participating Affiliate in a timely manner can lead to disqualification and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
During any session/ Round of the Program, the relevant Participating Affiliate may, at its sole discretion, accept additional third party materials from the Applicant(s).
However, for the relevant Participating Affiliate to accept the same, the Applicant(s) will be required to submit proper authorizations, to the satisfaction of the relevant Participating Affiliate to be able to accept the said third-party materials and use the same.
The relevant Participating Affiliate shall not be responsible for any claims, of whatever nature and at any time, with respect to any third-party materials either included in the Submission Materials or provided by the Applicant(s) to the relevant Participating Affiliate at a later stage.
The relevant Participating Affiliate reserves the right to disqualify any Applicant, at any stage, should the relevant Participating Affiliate receive any claims against the Submission Materials or the Applicant(s) in general and to initiate necessary corrective and remedial actions against such breach by such Applicant(s).
None of the Applicants shall, without the prior written approval of the relevant Participating Affiliate, speak to the press or any other media or any third person, nor give any interviews or comments relating to the Rounds or any aspect of the Program or write blogs, post any messages in social networking or any site including but not limited to Facebook, Instagram, and Twitter.
The Applicant(s) shall not disclose any information whatsoever relating to the relevant Participating Affiliate and/or the Program to any other party.
Violation of this clause shall immediately disqualify the Applicant’s prospects of further participation in any Round, the Program or any part thereof and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The Applicant(s) shall at all times keep confidential any information concerning or related to the Program (including without limitation selection process), the Applicants, the events contained in the Program, any ideas, products, inventions, services or businesses presented by any Applicant(s) in connection with the Program or the outcome of the pitch or the Program or any part thereof including any Round and any information including ideas, products, inventions, services or businesses shared by any relevant Participating Affiliate, the Proposer(s) and their respective Affiliates during the course of the Program including the Bootcamp and Residency and while any such Applicant(s) is a Co-Founder for which the Applicant(s) shall be required to execute appropriate non-disclosure agreements.
The Applicant(s) cannot use the name of the Program or any elements in any manner or post behind the scenes videos or any content related to the Program, on their personal social media platforms or any other platforms, without the prior approval of the relevant Participating Affiliate.
The Applicant(s) selected for final Round of the Entry Process may be required to promote the Program by posting certain watermarked pre-approved promotional posts on their social media as may be instructed by the relevant Participating Affiliate from time to time.
The Applicant(s) shall not try and monetize any clips, images or elements of the Program in any manner.
The Applicant(s) shall not disclose any information about the Round, Entry Process, Program, Co-Founder role or share any documents relating to the Program or Co-Founder role that they have access to or copy them.
Failure to comply with this requirement will lead to disqualification and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The Applicant(s) or any individual, at any stage, shall not publish or post any information or use any images, videos, footages, posts from the Program, parody or disparage the Program, any relevant Participating Affiliate, any Proposer(s) or their respective Affiliates in any manner, give any interviews or make any statements with respect to the Program or the relevant Participating Affiliate and/or the Proposers and/or their respective Affiliates, on any platform or media in any manner, without authorization from the relevant Participating Affiliate.
The relevant Participating Affiliate reserves its rights to take appropriate legal actions against any Person including the Applicant(s) and any person through which such Applicant(s) is, directly or indirectly, acting or who is acting on behalf of any Applicant(s).
The number of Applicants to be selected for any successive Round and / or the Cohort shall be at the sole discretion of the relevant Participating Affiliate.
The relevant Participating Affiliate shall shortlist Applicant(s) after the Rounds as required, out of which only a limited number of Applicant(s) shall be selected for further selection processes in the Program.
The Applicant(s) authorizes, permits, and grants consent to the relevant Participating Affiliate, the Proposer(s), their respective Affiliates and/or their authorized representatives to record videos and exploit the videos in any other manner as the relevant Participating Affiliate may deem fit.
The Applicant(s) hereby agree, acknowledge and undertake that he/she shall not, and shall ensure that no third-party individual or entity, upload, publish, reproduce, sell, exploit, share or use the videos in relation to Program in any manner including uploading, reproducing, sharing the videos on any platforms, websites, applications.
Notwithstanding anything herein, any breach of this condition may lead to disqualification of the Applicant(s) and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s) at the relevant Participating Affiliate’s sole discretion.
Rounds will be subject to such timing stipulations and requirements as may be determined by the relevant Participating Affiliate and the relevant Participating Affiliate makes no representations, warranties nor provides any undertaking to any of the Applicant(s) that any or all of the Applicants will be able to take part in any Round, or at all.
The relevant Participating Affiliate shall not be liable nor responsible for any damages, losses, costs, expenses or otherwise suffered by any of the Applicant(s) in the event that the relevant Participating Affiliate is not able to permit the Applicant(s) to take part in the Round or Program in accordance with any of the foregoing provisions.
If an Applicant is unable to appear for any of the Round requirements at the stipulated date and time, he/she shall be disqualified from further participation at the sole and absolute discretion of the relevant Participating Affiliate.
The relevant Participating Affiliate shall not entertain any request by the Applicants for change in the dates and time of any Round or any amendments to the Terms and Conditions.
Notwithstanding any other provisions in this Terms and Conditions, the relevant Participating Affiliate may, at its sole and absolute discretion, cancel or reschedule the Rounds, or hold additional Rounds on such other dates and at such places or may change the process or manner in which such Rounds are conducted as it may determine and the Applicant(s) shall adhere to and abide by any and all instructions, requirements and timing stipulations as determined by the relevant Participating Affiliate and shall attend at any and all such additional Rounds.
Applicant(s) from the first set of Rounds may be considered in the second session schedule, if the need arises, at the sole discretion of the relevant Participating Affiliate.
The Applicant(s) understands that getting shortlisted in the Round is only a preliminary step towards further participation in the Program and it shall be the absolute and sole discretion of the relevant Participating Affiliate to allow participation, based on creative requirements for the Program.
Apart from the Applicant(s), the relevant Participating Affiliate may at its sole discretion provide a chance for entry to the Round/Program for Backup Applicant(s) also, based on needs, should they arise, or in the event of participation selection process or system failure.
This shall be the sole decision of the relevant Participating Affiliate and the relevant Participating Affiliate does not make any guarantees in this regard.
Even after final selection for the Program, the relevant Participating Affiliate shall have the right to replace any of the Applicant(s) as per their discretion and creative requirement, for the betterment of the Program.
The relevant Participating Affiliate also reserves the right to increase or decrease the ratio of the Applicants in each Program i.e. increase or decrease the number of Applicant(s) who can participate in the Program, without any prior intimation to the Applicant(s) and/or the public.
The relevant Participating Affiliate will not entertain and permit the Applicant(s) or any of their representatives to check / audit / challenge the criteria of selection of Applicants.
The relevant Participating Affiliate may in its sole discretion exclude an Applicant(s) from participating in any Round, Cohort or the Program which may include without limitation (i) circumstances which, in the relevant Participating Affiliate's view, renders the Applicant(s) unfit to participate therein; (ii) inability to produce documentation specified by the relevant Participating Affiliate proving the identity or residence of the Applicant; (iii) any other reason that, at the discretion of the relevant Participating Affiliate, would adversely impact the relevant Participating Affiliate, the Proposer/s, their respective Affiliates or Program.
At no point of time will the relevant Participating Affiliate be obliged to notify unsuccessful Applicants of its decision or provide any reason thereof.
Whilst the relevant Participating Affiliate shall make all reasonable endeavours to (i) enable Applicant(s) to proceed with the Program (ii) to contact all Applicant(s) at each relevant juncture of the Program, the relevant Participating Affiliate can make no guarantee thereof and the relevant Participating Affiliate shall in its sole discretion be entitled to proceed with the next entitled Applicant(s) (“ Backup Applicant(s) ”) under these Rules, in case it is unable to successfully contact and communicate with the original Applicant(s).
The relevant Participating Affiliate will have no liability to an Applicant(s) who is unable to attend or take part in the Program for whatever reason and the relevant Participating Affiliate shall be entitled to disqualify the Applicant(s), replace any such Applicant(s) from the Program at any time, at the discretion of the relevant Participating Affiliate.
The relevant Participating Affiliate further reserves the right to replace at its discretion any Applicant(s) who for any reason fails or is disqualified from or unable to participate in the Program with another replacement Applicant(s), notwithstanding that such replacement Applicant(s) may have been previously eliminated from the Program and each Applicant(s) shall agree to participate in the Program and/or Program as and when required by the relevant Participating Affiliate to do so.
In the event that there is a tie between two (or more) Applicant(s), the relevant Participating Affiliate shall be entitled to determine in its sole and absolute discretion which Applicant(s) is eliminated and/or which Applicant(s) goes through to the next Round (as appropriate) and for this purpose it shall be entitled to make such arrangements or request such further rounds from the Applicants as it in its absolute discretion deems necessary.
No enquiries, appeals, verbal or written, shall be entertained in this regard.
The announcement, solicitation and/or acceptance of any investment in any business or any equity interest thereto of any kind from one or more of the Proposer(s) is between the said parties and the relevant Participating Affiliate has no role to play in such offer or investment by the Proposer(s) and shall not liable in any manner whatsoever in case the said Proposer(s) decides to withdraw their offer to invest or an agreement, as may be applicable.
The Applicant, by choosing to participate in the Program including the Entry Process and any other part thereof, agrees and confirms that the relevant Participating Affiliate shall in no manner be liable for any actions, promises or omissions of the Proposer/s and any transaction between the Proposer/s and the Applicants shall be to the exclusion of the relevant Participating Affiliate and neither the relevant Participating Affiliate in any manner grants/commits any funding assurance to the Applicant(s) in any manner whatsoever and nor the relevant Participating Affiliate shall be held liable for the same.
The Applicant(s) hereby understand and agree that the panel of “judges” as announced by the relevant Participating Affiliate is subject to change at the relevant Participating Affiliate’s discretion anytime during the Program and the relevant Participating Affiliate shall not entertain any complaints or appeals from the Applicant(s) in this regard.
If at any time, including if a Proposer is investing in the Applicants business proposal/ idea, any information submitted by the Applicant(s) is found to be incorrect, false, or otherwise misrepresented or misleading, the Applicant(s) shall be liable to refund all amounts received from the relevant Proposer.
As part of Applicants’ contribution to the Program, the relevant Participating Affiliate may request Applicant(s) to participate in any online/ offline/ hybrid interactive activity relating to the Program including without limitation recordings of webcasts, interviews and participation in so-called ‘AMAs’, chatrooms or podcasts (“ Promotional Activity ”) without any additional consideration.
Applicant(s) agree and acknowledge that all such Promotional Activity shall constitute sole and absolute property, including, but not limited to, Intellectual Property Rights of the relevant Participating Affiliate in perpetuity, worldwide and across the universe.
The Applicant(s) (s) hereby agree and consent to the collection, recording, processing and storing of the images, videos submitted, information and the personal interactions during the Rounds.
Further, any photographs, videos, voice notes, information etc. submitted to the relevant Participating Affiliate or recorded by the relevant Participating Affiliate during the Round or Entry Process shall on submission / creation become the property of the relevant Participating Affiliate, shall form part and parcel of the Submission Materials and shall be available to the relevant Participating Affiliate for exploitation throughout the world and across the universe in perpetuity.
The Applicant(s) (s) hereby waives off all the rights that they may have with respect to any such Submission Materials.
The Applicant(s) shall ensure that the Submission Materials submitted by them in any public domain or their performances shall not be obscene, vulgar, defaming, denigrating women or children, hurting religious sentiments, depicting violence or shall not infringe the rights of a third person.
In the event of any violation to the aforementioned, the Applicant(s) shall immediately be disqualified from taking part in the Rounds/Program or any further rounds of participation and such Applicant(s) shall solely remain liable for any action (criminal/civil) arising therefrom and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s) and the Applicant(s) shall indemnify and hold harmless the relevant Participating Affiliate, each of the Proposer(s) and all their respective Affiliates from the consequences of any such breach(es).
All the Intellectual Property Rights of the Applicant(s) either in the Rounds, Promotional Activity, in the Program and/or in any Co-Founder role, including but not limited to the copyright, rights of publicity, moral rights and any related rights shall stand waived and Applicant(s) agree not to claim or enforce any of the aforementioned rights in any court, tribunal or any other forum whether in India or anywhere else.
Applicant(s) also consent to the relevant Participating Affiliate’s right to reproduce the Applicant’s attributes or any recordings or materials provided by the Applicant(s) (s) or portray the Applicant(s) in any and all media now existing or hereinafter created, including without limitation television, internet, film, radio and print media, without any consideration whatsoever for advertising and publicity purposes of the Program or any other Program of the relevant Participating Affiliate, except where prohibited by law.
The Applicant(s) also consents to the relevant Participating Affiliate’s right to use Applicant(s) (s) name, voice or picture, or the content of the Applicant’s Rounds without any further permission or compensation for such use in any and all media now known or in commercial use or developed based on media now known or in commercial use.
The Applicant(s) (s) grants the relevant Participating Affiliate irrevocable consent in perpetuity across the universe to the use of the sound recordings, photographs, videos, and illustrations taken during or in connection with the Rounds, in any and all applications including but not limited to advertising, commercials, promotion, stories, text, articles, illustrations, copy and commercial exploitation, in any and all media forms, including but not limited to radio, broadcast and television, newspapers and magazines at any time without the Applicant(s) further knowledge or consent.
Any and all Intellectual Property Rights that are generated, ideated, created or produced by the in any manner, way, shape or form by the Applicant(s) either separately or jointly with one or more persons during and after the Program including the Bootcamp, Residency and in any Co-Founder role pursuant thereto shall belong and vest absolutely in, and be the absolute and unfettered property of, the relevant Participating Affiliate or its Affiliate of which the Applicant(s) is the Co-Founder.
Acceptance of these Terms and Conditions by the Applicants constitutes permission for the relevant Participating Affiliate to click photographs, record videos of the Applicant(s) and use the Applicant(s) name, photographs, likeness, voice and comments for advertising and promotional purposes in any media wherever and whatsoever for purposes of advertising and trade without any additional consideration whatsoever.
The relevant Participating Affiliate may also request the Applicant(s) to use or share the content posted on their personal social media platforms in relation to the Program with the relevant Participating Affiliate.
They Applicant(s) hereby authorizes the relevant Participating Affiliate to use the content available on their personal social media handles including their profile pictures, social media handles etc. Once such content is included in the Program or used in connection with the Program, the relevant Participating Affiliate (and its assignees and licensees) shall have the right to use the same in perpetuity across the universe and the Applicant(s) shall not raise any claims against the relevant Participating Affiliate.
All Applicant(s) hereby expressively agrees that they have read, understood and agree to the provisions in these Terms and Conditions relating to Intellectual Property Rights.
The relevant Participating Affiliate may require the Applicant(s) to sign additional forms, documents, undertakings, declarations, any other similar documents prior to, or during, them attending the Program, with regard to their participation in the Program.
The Applicant(s) hereby agrees to sign all such documents that may be required by the relevant Participating Affiliate and any refusal by the Applicant(s) to sign such documents shall give the relevant Participating Affiliate the right to forthwith and unconditionally disqualify such Applicant and termination of any further participation thereof in the Program, any Cohort, the Bootcamp, the Residency or Co-Founder role.
The relevant Participating Affiliate shall keep all the information collected from the Applicants (including videos submitted and interviews conducted) confidential and shall use the same for the purpose of Program.
The Applicant acknowledges that the relevant Participating Affiliate will need to collect their Personal Data for the purpose of the Program.
By providing their explicit consent, the Applicant(s) consent to the collection, processing, storage, use, disclosure and transfer of their Personal Data which may be collected by the relevant Participating Affiliate for the purposes of the Program.
The term ‘Personal Data’ shall mean and include but is not limited to the name, photograph, likeness, phone number, residential address, email addresses, photo identity documents such as passport, driving license, PAN, Aadhaar, social security number or any other document for age verification such as birth certificate, ration card, voter identity card or other details pertaining to the identity of the Applicant(s) and other information as may be required for the purposes of the Program.
The relevant Participating Affiliate reserves the right to deny participation, registration, or qualification for any further Round or overall qualification to the Program, especially if the Applicant is unable to or refuses to provide or verify their Personal Data or if the Applicant does not consent to or withdraws the consent provided to for collection or processing of their Personal Data.
The relevant Participating Affiliate may, at its discretion, contact the Applicant(s), if required, for any clarifications needed for the Personal Data provided.
The relevant Participating Affiliate reserves the right to require proof of identity and/or eligibility, at any time.
Failure to provide such proof within a reasonable time could result in disqualification from the Program.
Further, if there is any mismatch of Applicant(s) details in any round of the Program, the Applicant(s) may be disqualified from further participation in the Program, if Applicant is unable to resolve discrepancies immediately upon request.
The relevant Participating Affiliate shall collect, process, storage, use, disclosure, transfer of Personal Data in compliance with all applicable laws including the Digital Personal Data Protection Act, 2023 (related rules as and when notified), the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. Any information shared by the Applicant(s) with the relevant Participating Affiliate shall be handled by the relevant Participating Affiliate in terms of the privacy policy of the relevant Participating Affiliate.
In addition, participation in the Program and the collection and processing of Personal Data of the Applicants(s) shall also be subject to the privacy policies and terms and conditions of third-party service providers.
The Applicant(s) are advised to familiarize themselves with the terms and conditions and policies of such third parties.
The Applicant(s) hereby agree and acknowledge that the collection and processing of the Personal Data by the relevant Participating Affiliate is for a lawful purpose and is necessary for facilitating their participation in the Program.
The Personal Data collected by the relevant Participating Affiliate shall be retained by the relevant Participating Affiliate in line with the purpose for which it collected i.e. for the Program.
Access to Personal Data will be limited to the personnel of the relevant Participating Affiliate and Affiliates of the relevant Participating Affiliate (and their respective directors, officers, employees, personnel, contractors, advisors) on a need-to-know basis.
For the purposes of the Program, the relevant Participating Affiliate may contract with the service providers to perform functions or services on its behalf.
Such service provider may have limited access to the Personal Data needed to perform their functions but shall be restricted from using such Personal Data for purposes other than providing services to the relevant Participating Affiliate solely in connection with the Program.
Such service providers shall be subject to the same level of privacy protection as is required by applicable laws including the Digital Personal Data Protection Act, 2023 (and related rules as and when notified).
In addition to the service providers engaged by the relevant Participating Affiliate: a) the relevant Participating Affiliate may also disclose Personal Data including sensitive personal information, if any, to governmental agencies and regulators (including, but not limited to, tax authorities), social organizations (including, but not limited to, the social security administration), human resources benefits providers (including, but not limited to, insurers), external advisors (including, but not limited to, lawyers, accountants, and auditors), courts and other tribunals, and government authorities, to the extent required or permitted by applicable legal obligations.
b) The level of Personal Data protection using technical, managerial, operational and physical security control measures by the relevant Participating Affiliate shall be such as to be in compliance with all applicable laws including the Digital Personal Data Protection Act, 2023 (and related rules as and when notified).
The Applicant can opt-out of processing of their Personal Data, at any time, by writing to the relevant Participating Affiliate at the address/ email provided under the Privacy Policy.
It is advised that the Applicant(s) identify themselves correctly before submitting any such requests, to enable the relevant Participating Affiliate to resolve the concerns in a timely manner.
The Applicant(s) understands that the collection and processing of their Personal Data is imperative for their participation in the Program.
Therefore, in the event the Applicant withdraws their consent for the collection and/or processing of their Personal Data, the Applicant shall not be entitled to participate in the Program any further.
The Applicant(s) agrees that by accepting the Terms and Conditions, the Applicant(s) agrees to not raise any claims against the relevant Participating Affiliate in this regard.
All Personal Data and information requested by and supplied to the relevant Participating Affiliate by each Applicant(s) must be truthful, accurate and in no way misleading.
The relevant Participating Affiliate reserves the right to disqualify any Applicant(s) from the Program or Round in its sole discretion, should the Applicant(s) at any stage supply untruthful, inaccurate or misleading personal details and/or information and that the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
Notwithstanding any other provisions contained hereunder, Applicant(s) acknowledges that the obligations related to confidentiality shall not pertain to any information which: is in the public domain or comes into the public domain through no wrongful act on the part of the relevant Participating Affiliate; or is already known to the relevant Participating Affiliate and/or its Representatives as evidenced by their records at the time of disclosure by the Applicant; or is received by the relevant Participating Affiliate and/or its Representatives on a non-confidential basis from a third party; or is received by the relevant Participating Affiliate and/or its Representatives from a third party without breach of any agreement by the relevant Participating Affiliate; or is independently developed by the relevant Participating Affiliate and/or its Representatives without breach hereunder; or is approved for release by written authorization of the Applicant; or is required to be disclosed by applicable law or regulations, order of the court of competent jurisdiction or an appropriately empowered governmental, statutory or regulatory agency or under rules of any stock exchange.
In such a case of compelled disclosure, the relevant Participating Affiliate will provide a reasonable prior notice to Applicant(s) and will request a protective order.
The Applicant(s) understands that sharing any Personal Data or Submission Materials does not in any way obligate the relevant Participating Affiliate to select the Applicant(s) for the Program or for the relevant Participating Affiliate or the Proposer/s to enter into any further agreement(s) with the Applicant, with respect to any matter arising out of or pertaining hereto.
The arrangements for travel and stay of the Applicant(s) selected to attend the Rounds will be made by the relevant Applicant (save and except for accommodation arrangements at the Centre for those Selectees that are part of a Cohort).
The relevant Participating Affiliate or any of the Affiliates connected with the Program shall not be liable for any cancellations and/or delays in the transportation arranged by the Applicant(s) due to any reason including but not limited to force majeure, logistical problems at the airports/ railway stations/ roads etc. and the Applicant(s) shall not have any claim against the relevant Participating Affiliate and/or any of its Affiliates connected with the Program.
The relevant Participating Affiliate, the Proposers or any of their respective Affiliates connected with the Program shall not be responsible for any such eventuality and the Applicant(s) undertakes not to claim any compensation from the relevant Participating Affiliate for the same.
The relevant Participating Affiliate is not, in any manner, responsible for logistics and expenses around transporting the product or any ancillary objects that the Applicant(s) needs to carry for the Round or the Bootcamp or the Residency.
The cost of transporting any product / licenses required to demonstrate any product/business pitch, will be the Applicant’s sole and absolute responsibility.
It is the sole and absolute responsibility of the Applicant(s) to ensure that the products or any ancillary objects carried by the Applicant(s) is not illegal, dangerous, hazardous, harmful or perishable and will not put anyone around the Applicant(s) at risk.
The relevant Participating Affiliate cannot be held liable for any damage to product or any ancillary objects carried by the Applicant(s) during the travel or Round or at the session.
In the event the Applicant(s) is unable to carry or transport the product or any ancillary objects or procure licenses that he/she needs to demonstrate during the Round or if the relevant Participating Affiliate in its sole discretion believes that with the products of the Applicant(s) might cause any harm to the Applicant(s) or any other person or the product is hazardous in general, then the relevant Participating Affiliate shall have the right to disqualify such Applicant(s) and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
The relevant Participating Affiliate is in no manner whatsoever responsible and/or shall not be held liable in any manner whatsoever, for any physical injury, death, mental trauma caused to any Applicant(s) and/or the Selectee (s) in any manner whatsoever.
The relevant Participating Affiliate, evaluation panel, the Proposer/s, the Contributors, the service providers or sub-contractors used by the relevant Participating Affiliate for the Program, and any person or entity connected with the Program, administration or judging of the Rounds, the Program (the “ Relevant Parties ”) shall be under no liability whatsoever to the Applicant(s), in respect of any loss, damage suffered by the Applicant(s) arising from or pursuant to the Program or for any and all loss, damage, cost, expense or injury to life or property sustained by the Applicant(s) at any stage of the Program including the Entry Process whether or not caused by (1) the administration (including scheduling) of the Program including any failure of transportation or inability for any reason to appear for the Round; (2) the Applicant’s or any third party’s participation in the Round, or being selected or disqualified; (3) as a result of the decisions of the Proposer/s or the relevant Participating Affiliate; (4) as a result of any comment, remark, judgment, view, criticism, critique, opinion and/or observation made and/or passed by the Proposer/s and/or the relevant Participating Affiliate; and/or (5) any printing, typographical or technological errors in any materials associated with the Program.
Notwithstanding the generality of the foregoing, the Relevant Parties expressly exclude liability for any and all direct, indirect and consequential loss or damage, including but not limited to loss or damage to property or for loss of profit, opportunity, business, revenue, goodwill or anticipated savings pursuant to the Program.
In no event will the measure of damages include, nor will the Relevant Parties be liable for, any amounts for indirect, incidental, consequential, or punitive damages of any party, including third parties; or for damages attributable to the Applicant(s); or circumstances beyond the Relevant Parties including the relevant Participating Affiliate’s reasonable control.
The registration process on the Website is provided on an "as-is" basis without any warranties of any kind.
To the fullest extent permitted by applicable law, the relevant Participating Affiliate disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement in respect of the Program and Website.
Without limiting the foregoing, the relevant Participating Affiliate specifically disclaim any warranty (a) that the Website will be uninterrupted or error-free, (b) that defects will be corrected, (c) that there are no viruses or other harmful components that exist on the website (d) regarding the security of information submitted, and (e) regarding correctness, accuracy, or reliability.
If Applicant(s) use of the Website, online Application Form results in the need for servicing or replacement of Applicants(s) or another's equipment or data, the relevant Participating Affiliate are not responsible for those costs.
The Applicant(s) for the Program agrees that he/she shall indemnify, defend, settle and shall hold harmless the relevant Participating Affiliate, Proposer/s or any other Person in connection with the Program, against any and all loss, claim, demands, costs, damages, judgments, expenses or liability (including legal costs) including third party claims of whatsoever nature at all time arising out of and in connection with including but not limited to (i) any claims of infringement of any third party rights (ii) any leak or disclosure of their idea/product/invention/service or business information (iii) any misrepresentation, misconduct, fraud by the Applicant(s) (iv) pertaining to Submission Materials by the Applicant(s) (v) the inability or unavailability of the Applicant(s) to participate the Program as per the schedule decided and informed by the relevant Participating Affiliate (vi) any breach of applicable law (vii) any acts or omissions with respect to the Program (viii) any breach of the Terms and Conditions hereunder.
The Applicant(s) (s) expressly waives any right to, in person/ through any family member and/or third party, any claim for any damages or reliefs in connection with the Program and these Terms and Conditions.
The Applicant(s) agrees that mere participating and/or becoming a Selectee in a Cohort shall not, in itself, guarantee any binding definitive agreement(s) between the Applicant(s) and the Proposer/s or their respective Affiliates (whether during or after the completion of the Residency and whether or not such negotiation culminates in a binding agreement for any Investment).
The relevant Participating Affiliate will not be responsible for any loss / theft of belongings of the Applicant(s) during any Round or of the Selectee(s), before, during or after the Residency or any at time before, during or after the Program.
The relevant Participating Affiliate shall not be responsible for: Any delivery, failures relating to the registration or uploading videos/presentations. Rejecting or not receiving any Submission Materials/ other information, data, etc. Any lost, late or misdirected computer transmission or network, electronic failures of any kind or any failure to receive entries owing to transmission failures or due to any technical reasons and Other conditions/situations or failures including force majeure.
All attempts will be made to protect registration data and Submission Materials from loss and corruption, but in the event such data loss happens, and because of the intricate timelines of the Entry Process and the overall Program, the relevant Participating Affiliate may have to continue with whatever data is available, or in any other manner as it may deem reasonable.
The relevant Participating Affiliate, the Proposer(s) or any of their respective Affiliates will not be liable for any loss of earnings, employment or otherwise caused to the Applicant(s) and arising as a result of his/her participation in the Round or the Program, if selected as a Selectee.
The relevant Participating Affiliate and its sub-contractors cannot and shall not be held accountable/liable for any disruptions / stoppages / interruptions or cancellation of the Round or Program on account of any factors beyond their control.
The relevant Participating Affiliate the Proposer(s) or any of their respective Affiliates and the relevant Participating Affiliates’ sub - contractors or Contributors shall not be held responsible or accountable to any of the Applicant(s)/ for any loss, injury or any other liability which may arise, enroute while attending any Round/ the Program or while participating in the Cohort and for which the Applicant(s)/Contributor(s) will be required to sign an indemnity in favour of the relevant Participating Affiliate and others mentioned hereinbefore.
The Applicant(s) agree to release, discharge, and covenant, not to sue the relevant Participating Affiliate, the Proposers or their respective Affiliates or any of the relevant Participating Affiliates’ associates, agencies, sub-contractors, Contributors and each of their respective officers, directors, agents, representatives and employees, and/or any other agencies or individuals connected with the Program in any manner, from any and all claims, actions, damages, liabilities, losses, costs and expenses, in any way arising out of or resulting from the Applicant(s) involvement in the Program or thereafter.
Applicants and/or any party that accesses the Website, agrees that neither the relevant Participating Affiliate nor any third party content or service providers involved in the Program will be liable to Applicant(s) for any loss or damages, either actual or consequential, arising out of or relating to these Rules, Applicant’s use or inability to use the microsite, or to Applicant’s reliance upon information obtained from or through the microsite, participation in the Program, travel, or use or misuse of any monies.
In particular, neither the relevant Participating Affiliate nor its third party or service providers will have liability for any consequential, indirect, punitive, special or incidental damages, whether foreseeable or unforeseeable (including, but not limited to, claims for defamation, errors, loss of data, or interruption in availability of data), arising out of or relating to the awards, terms of use, visitor's use or inability to use the Website, Application Form or to visitor's reliance upon information obtained from or through the Website, participation in the Program, travel, or use or misuse of any monies, whether based in contract, tort, statutory or otherwise.
The procedures for registration and participation in the Program are subject to the Terms and Conditions stated herein.
Non-conformity by any Applicant(s) to these Terms and Conditions, at any stage, of the Program will disqualify him/her from participation immediately and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
In the event of any fault, misunderstanding or dispute concerning any part of the Program, and/or the operation of the communication system, the Website, Rounds, the selection of Applicant(s) at any stage, or the validity of any question or answer options, the decision of the relevant Participating Affiliate shall be final and binding on all Applicant(s).
The relevant Participating Affiliate of the Program is empowered to take a decision on any case or instances not covered by the present Terms and Conditions in its sole and absolute discretion.
The relevant Participating Affiliate reserves the right to amend (add, delete or modify) the Terms and Conditions governing the Program and/or the Applicant(s) selection process prospectively or retrospectively, at its sole and absolute discretion and without prior notice, in order to improve the Program or remedy any issues that occur.
The relevant Participating Affiliate will not entertain any claims / questions / queries with respect to the authenticity or correctness of any questions and answers for the questions asked in any Round of the Program.
The relevant Participating Affiliate’s decision on the correctness or incorrectness of any answer is final and binding on all Applicants.
The relevant Participating Affiliate has the right at any time to reschedule, delay, suspend or terminate or otherwise change the terms of the Round or the Program without any prior intimation or notice to the public and also the relevant Participating Affiliate is not obligated in any manner whatsoever to compensate any person or persons who have participated in the Program and/or accommodate any person or persons who have been selected in the Program, designated a Selectee or made part of any Cohort.
Completion of the Entry Process to the Program does not guarantee the selection of the Applicant(s) to proceed with the Program.
Registration also does not entitle any Applicant(s) to any prize or award.
All Entry Processes shall be subject to completion of the procedures by the Applicant(s) as per instructions received (i) through the Website, (ii) as per email or mobile communication; and (iii) as per these Terms and Conditions.
Taking part in the Entry Process shall be deemed to be acceptance by the Applicant(s) of these Terms and Conditions, inter-alia , to receive updates and information with respect to the Program from the relevant Participating Affiliate or any third party so authorized by the relevant Participating Affiliate.
Taking part in the Entry Process shall be deemed to be acceptance by the Applicant(s) to receive promotional messages from the relevant Participating Affiliate or any third party so authorized by the relevant Participating Affiliate.
In the event the Applicant(s) wants to opt out of receiving such messages, then the Applicant(s) can write back to the email address from which the Applicant(s) has received the communication.
The Applicant(s) hereby agree to not attempt to gain unauthorized access to the user accounts, servers or networks connected to the relevant Participating Affiliates by any means, including but not limited to, by circumventing or modifying, attempting to circumvent or modify, or encourage, or encouraging or assisting any other person to circumvent or modify, any security, technology, device, or software that underlies or is part of the relevant Participating Affiliate’s domains, Website or backend.
If the operation of the Program (including without limitation the operation of the related telephone systems and software systems); including of any/all Rounds is prevented by an event of force majeure including but not limited to any natural disasters, pandemics, epidemics, government mandated lockdowns, orders, regulations or any unforeseen event that is beyond the relevant Participating Affiliate’s control or any act of god etc. the relevant Participating Affiliate may cancel all or any part of the Program or Cohort, or take such other decision as it deems fit in its sole and absolute discretion.
The relevant Participating Affiliate reserves the right to re-schedule the date(s) of registration, Entry Process, Rounds, Program and any part thereof, at its sole and absolute discretion.
In case the Applicant(s) is found to be in violation of any and all rules/process of the Program, the relevant Participating Affiliate reserves the right to initiate legal proceedings against such person(s) and immediately terminate such Applicant(s) participation in the Program.
The relevant Participating Affiliate shall not be responsible if the Applicant(s) fails to submit the Application Forms OR Materials within the stipulated time frame.
The Applicant(s) confirms that the relevant Participating Affiliate shall in no manner be liable to the Applicant(s) in any manner in the event the response of the relevant Participating Affiliate does not satisfy the Applicant’s needs or if the same is delayed or there is no response at all.
The relevant Participating Affiliate reserves the right to change the structure of the Program as it sees fit including without limitation by adding / reducing / altering Rounds/rounds to the Program.
It is a condition of entry and participation in the Program that Applicant(s) make themselves available to participate in the Program, agree and sign up or acknowledge the Applicant(s) release form and any other documents as requested by the relevant Participating Affiliate and abide by terms and conditions of such Applicant(s) Release Form and the rules and/or regulations as devised from time to time by the relevant Participating Affiliate including but not by way of limitation these Terms and Conditions.
The relevant Participating Affiliate’s decision (or, where appropriate, the decision of the Proposer/s) is final and the Applicant(s) acknowledge that the interests of the Program shall override those of any Applicant(s).
The Applicant(s) must at all times behave appropriately when taking part in the Program and observe these Terms and Conditions and any other Terms and Conditions in force at the Rounds and during the Cohort or the Program or any part thereof.
The relevant Participating Affiliate reserves the right in its sole and absolute discretion to disqualify and remove the Applicant(s) from the Round or Program, Round.
Any Applicant(s) who breaks such rules and/or fails to behave appropriately is liable to be disqualified and dismissed and the relevant Participating Affiliate may initiate necessary corrective and remedial actions against such breach by such Applicant(s).
These Terms and Conditions supersede any and all release forms signed or acknowledged by the Applicant(s) and in the event of any conflict between Applicant(s) Release Form and these Terms and Conditions, these Terms and Conditions will prevail.
No weapons, alcohol or illicit substances will be permitted at any premises or during any part of the Program including during the Residency of any Cohort of Selectees.
Applicant(s) must be of good moral character and not be under the influence or habit of any medication, drugs or other psychotropic substance which may impair their ability to participate in the Program.
Use of any prohibited substances could lead to immediate and unconditional disqualification and dismissal from the Program or any part thereof and the relevant Participating Affiliate shall be entitled to take any and all necessary corrective and remedial actions against such breach.
If any provision of these Terms and Conditions is held by any court or other competent authority to be void or unenforceable in whole or part, the other provisions of these Terms and Conditions and the remainder of the affected provisions shall continue to be valid.
These Terms and Conditions and the Program shall be governed by and construed in accordance with the laws of India and the Applicant(s) submit irrevocably to the jurisdiction of the Courts in Mumbai.
Use of mobile phones will not be permitted during the Rounds.
It may lead to disqualification and other corrective and remedial actions.
Registration / completion of the Entry Process does not guarantee the selection or participation of the Applicant(s) and such selection shall be as per the sole discretion of the relevant Participating Affiliate or its Affiliates.
The relevant Participating Affiliate of the Program is empowered to take a decision in its sole and absolute discretion on any and all matters not covered by the present Terms and Conditions.
The only way to enter the Program is through participation as described in these Terms and Conditions.

The Terms and Conditions are written in English. In case of any conflict in the interpretation of the clauses between the English Terms and Conditions and any machine / AI generated local language translation of any Applicant(s), these English Terms and Conditions shall absolutely prevail.
